Position Scope

The Contracts Specialist will be responsible for providing practical, operations-focused advice relating to existing and proposed contracts that will allow the company to identify and mitigate risks during its bidding and operational activities.  The Contracts Specialist will be involved in the negotiation of major client contracts and subcontracts and will support site operations with ongoing contract interpretation in matters such as change management and resolution of contractual issues, claims, and disputes as they arise.  A practical focus and the ability to identify potential problems before they materialize are essential to this position.

Responsibilities

What You’ll Be Doing

 

Pre-Contract Award

  • Act as a key stakeholder in the contracting process, participating in all phases of the RFx cycle from initial review of client documents to the finalization of the contract, ensuring that NACG’s proposals are properly reflected in all contractual documents.
  • Conduct a detailed review of the client’s pro forma contract, including the general terms and conditions, and redline the client’s documents with the recommended changes necessary to reflect NACG’s risk profile for the work.
  • Assess the allocation of risk in client contracts against NACG’s contracting risk regime (including limitation of liability, indemnities, insurance, warranties, payment, changes, delay, suspension, and termination), and recommend positions, fallback positions, and mitigation measures to the bid team and management.
  • Participate in the development of bidding strategies and in contract negotiations, ensuring contract documents reflect NACG’s interest and position with respect to scope of work, terms and conditions, schedules, and bonus/performance clauses.

 

Post-Contract Award

  • Prepare subcontract documents for subcontractors selected by operations, flowing down the applicable terms and conditions of the prime contract and ensuring the subcontract reflects NACG’s interest and position and is consistent with NACG’s obligations to the client.
  • Where a subcontractor takes exception to the subcontract terms, assist in negotiating those exceptions to an outcome that protects NACG’s position under the prime contract.
  • Provide contract interpretation to site operations and project teams on rights, obligations, notice requirements, and entitlements under the prime contract and subcontracts.

General

 

  • Ensure corporate policies and procedures as they pertain to contract management are understood and adhered to.
  • Maintain contracting records in accordance with NACG’s policies and procedures.
  • Provide advice, support, education, and guidance to office and operations personnel with respect to contractual issues and obligations.
  • Maintain awareness of current legislation, regulations, and common law to the extent they relate to the company’s contracts and the construction industry generally.
  • Other duties as assigned.

Qualifications

What Makes You the ONE

 

  • 7 years or more of contract management experience, preferably in construction.
  • Strong understanding of contract law (including construction and business law) and of contracting risk regimes, with the ability to assess a client’s pro forma contract against an organization’s risk tolerance and approved contracting positions.
  • Demonstrated experience reviewing, redlining, and negotiating client pro forma contracts and commercial terms and conditions (e.g., warranty, liability, indemnity, and insurance), and drafting subcontracts with flow-down provisions from the prime contract.
  • Some field-based contract management experience in industrial, energy, mining, or construction industries.
  • Experience in Microsoft Office suite, including SharePoint.
  • Post-secondary education or equivalent experience relating to contract management, business management, or law.
  • Highly motivated and self-managed, with the ability to work effectively with minimal supervision.
  • Excellent interpersonal and communication (both written and verbal) skills.
  • Strong problem-solving, analytical, organizational, and negotiation skills, with the ability to influence others in a positive manner.
  • Strong attention to detail, with the ability to draft clear, precise contract language and to explain contractual risk in plain language to operations personnel and management.
  • Occasional travel to project sites and/or client offices may be required.
  • Ability to relate to the industrial construction environment and management personnel.
  • Ability to monitor and maintain the efficient flow of contractual documents and information.
